1. Our Commitment to Service Delivery

1.1 Integrated Solutions for Residential Design and Build

Dezine and Build connects discerning homeowners with expert teams specialising in architecture, interior design, and construction management. We offer comprehensive solutions tailored to meet individual project aspirations, ensuring quality, transparency, and timely execution.

1.2 Project Facilitation and Management

Upon formal agreement, Dezine and Build assumes the role of project facilitator, overseeing each phase from initiation to completion. Our dedicated tracking team provides milestone-based updates to ensure that project timelines, budgets, and quality standards are consistently maintained.

1.3 B2B Material Procurement

Construction materials are sourced and supplied exclusively too registered business entities collaborating with Dezine and Build projects. This ensures quality assurance and seamless integration with project timelines.

1.4 No Retail Material Sales (B2C)

Individual customers without a signed construction or design contract with Dezine and Build are not eligible to directly procure materials through our supply network.

1.5 Material Delivery Timelines

Timelines for material supply are pre defined based on project specific categories. These will be communicated clearly during project initiation to ensure operational clarity

1.6 Billing Protocol

Invoices for construction materials and services rendered will be raised directly to the registered business within 48 hours post-delivery or service milestone achievement.

1.7 Land Development Assistance

Dezine and Build may assist clients by connecting them to verified land development partners for a fixed facilitation fee. We do not participate in pricing negotiations or transaction formalities related to land purchases

1.8 Promotional Partnerships

Select clients and allied businesses may be promoted via Dezine and Build’s digital platforms for a pre agreed marketing fee. However, we will not engage in pricing discussions or transaction execution for such properties.

1.9 Flexible Package Pricing

Our package pricing is indicative and varies depending on the built up area, project complexity, material choices, and number of floors. Transparent and detailed pricing will be shared before contract finalisation.

2. Usage Policies and Access Protocols

2.1 Account Information and Updates

Clients are responsible for providing accurate and complete information during registration
and project initiation. Email and mobile contact information must be kept current to ensure
seamless communication and official notice delivery

2.2 Permitted Use of Services

2.3 Service Charges and Taxation

Clients will be informed of all applicable charges before project commencement, including design, construction, and material supply costs. All applicable taxes will be added as per statutory requirements.

2.4 Payment Terms

Payments for services and deliverables are due immediately upon commencement or delivery milestones. All payments to Dezine and Build are final and non-refundable except as explicitly provided for in the contractual agreement.

 

Transactions facilitated with third-party vendors fall under the scope of Dezine and Build’s broader project engagement and are not independent transactions.

3. Service Environment and Standards

3.1 Technical Assistance and Client Support

Dezine and Build provides technical and project support to all active clients and partner vendors, ensuring smooth project progress and resolution of technical queries throughout the project lifecycle.

3.2 Independent Facilitation

Dezine and Build acts purely as a service integrator and facilitator. We do not represent either the client or third-party service providers as principal or agent. Our role is limited to managing the scope and delivery of contracted services.

 

We hold no direct liability for individual transactions or engagements outside the boundaries of our signed agreements.

3.3 Ethical Use of Digital Platforms

Clients and partners are expected to use Dezine and Build’s digital tools and communication platforms professionally and ethically. Posting or transmitting illegal, defamatory, discriminatory, or inappropriate content is strictly prohibited.

 

Any violation will result in immediate suspension or termination off platform access, without prior notice, in addition to any other legal remedies available to Dezine and Build.

4. Cancellation and Refund Policy

4.1 General Policy

At Dezine and Build, our mission is to deliver a seamless and high quality residential design and construction experience. Significant resources are dedicated from the moment a client engages our services, including feasibility studies, site assessments, conceptual designs, statutory evaluations, and procurement processes. Consequently, the following cancellation and refund terms are structured to ensure fairness to all stakeholders and to cover the costs incurred during preliminary project stages.

4.2 Client Cancellation Procedure

Clients who wish to cancel their engagement must communicate their intent in writing from their registered email address to support@dezineandbuild.com. Alternatively, they may send a formal letter via registered post with acknowledgment due to our head office address as listed on our website.

4.3 Review and Processing of Cancellation Requests

Upon receipt of the cancellation request, Dezine and Build will review the matter on a case-by-case basis. Evaluation will take into account the extent of work completed, resources mobilised, third-party contracts initiated, and costs incurred up to the date of receipt.

4.4 Stage-wise Retention Charges

Service fees already received from the client will be subject to retention based on the project stage completed at the time of cancellation:

Note: Project Value refers to the total contract value agreed before considering any discounts or promotional offers.

4.5 Additional Charges

In addition to the stage-wise deductions, Dezine and Build reserves the right to recover actual expenses incurred towards:

If the client has entered into a Master Agreement with Dezine and Build covering full project execution, cancellation terms specified within that agreement shall override general cancellation terms. Specific penalties, recovery costs, and additional stage based deductions may apply as outlined in the respective contract.

Dezine and Build reserves the right to consider exceptional circumstances on humanitarian or hardship grounds, and in such cases, the Management may approve partial refunds beyond standard policy deductions, strictly at its sole discretion.

Dezine and Build may revise this Cancellation and Refund Policy from time to time. Clients shall be informed in advance of any changes, and continued use of our services after such notification shall imply acceptance of the revised policy.

5. Account Information and Client Communications

5.1 Collection and Management of Transaction Information

Dezine and Build may record and maintain information related to transactions with clients, including but not limited to service details, project milestones, payment schedules, amounts paid and payable, deliverables issued, and communications exchanged (“Transaction Information”). Such information may be communicated between Dezine and Build and the client via telephonic conversations, SMS, WhatsApp, email, or any other approved electronic communication channels, depending on the contact information shared by the client at the time of project onboarding.

5.2 Client Consent for Information Usage

At the commencement of the project or upon the first exchange of Transaction Information, Dezine and Build shall inform the client regarding:

6.1 Accuracy and Disclosure of Information

The client represents and warrants that all information, documentation, and data provided  to Dezine and Build during the course of availing services are complete, true, accurate, and up-to-date at the time of submission. The client further agrees to promptly notify Dezine and Build in writing if any information previously provided undergoes any change or becomes outdated during the term of engagement.

 

Dezine and Build shall not be held responsible for any losses, delays, or damages incurred as a result of inaccurate, incomplete, misleading, or outdated information provided by the client.

6.2 Compliance with Laws

The client is solely responsible for ensuring compliance with all applicable central, state (specifically Tamil Nadu), and local laws, rules, building regulations, and statutory obligations connected to the project.
Any legal liabilities, penalties, or consequences arising out of non-compliance shall be borne entirely by the client.

6.3 Cooperation in Legal Proceedings

In the event that Dezine and Build is subjected to any legal proceedings, investigations, or audits arising due to any act or omission by the client, the client agrees to extend full cooperation and support in defending against such proceedings.

6.4 Data Backup Responsibility

While Dezine and Build endeavors to maintain internal backups of project communications and transaction data, it is the client’s sole responsibility to independently store, archive, and maintain copies of all important documents, designs, payment confirmations, and project correspondence shared during the engagement.

6.5 Permitted Use of Services

Clients are permitted to use Dezine and Build’s platforms, designs, deliverables, and services strictly in accordance with these Terms. Specifically, the client agrees not to:

7. Intellectual Property Rights

7.1 Ownership of Intellectual Property

All rights, title, and interest in and to Dezine and Build’s platforms, services, designs, documentation, templates, concepts, and any other materials provided during the course of engagement, including all associated intellectual property rights, are and shall remain the exclusive property of Dezine and Build or its licensors.

 

Subject to compliance with these Terms, Dezine and Build grants the client a nonexclusive, non-transferable, non-sub-licensable, royalty-free, revocable, and limited license to use the provided materials and services solely for the purposes of the specific residential project agreed between the parties.

 

This license is limited strictly to the duration of the service engagement and does not grant any ownership or broader rights beyond project execution.

7.2 Client Feedback and Suggestions

Dezine and Build may, from time to time, solicit feedback, suggestions, ideas, improvements, or recommendations (“Feedback”) relating to its platforms, services, or operations.

 

By providing such Feedback, you agree that Dezine and Build shall have the unrestricted right to use, reproduce, modify, publish, display, distribute, and otherwise exploit such Feedback without any obligation of royalty, acknowledgment, attribution, or consent. Such Feedback will be used solely to improve service offerings and operational efficiency
across Chennai, Tamil Nadu, and other service areas.

7.3 No Transfer of Rights

Except as expressly provided under these Terms, nothing contained herein shall be construed to grant, by implication, estoppel, or otherwise, any ownership rights, licenses, or intellectual property rights of Dezine and Build or any third party to the client.

 

All rights not expressly granted under these Terms are hereby reserved.

8. Term and Termination

8.1 Term of Agreement

These Terms of Engagement shall remain in full force and effect unless and until terminated either by the client or by Dezine and Build in accordance with the provisions set forth herein.

8.2 Right to Terminate

Dezine and Build reserves the right, at its sole discretion, to immediately suspend, restrict, or terminate your access to the services or any part thereof, without prior notice, under the following circumstances:
Such termination may be exercised without prejudice to any other rights or remedies available under law or equity.

8.3 Consequences of Termination

Upon termination of your engagement:

Notwithstanding any other provision, upon termination for any reason, all outstanding payments, fees, or reimbursable costs incurred up to the date of termination shall become immediately due and payable by the client. Dezine and Build reserves the right to initiate recovery proceedings, impose late payment penalties, or exercise any other legal remedies available for recovery of such dues.

9. Disclaimers and Limitations of Warranty

9.1 Use at Client’s Own Risk

Use of Dezine and Build’s services is undertaken entirely at your own risk. You agree that all decisions regarding design, planning, construction, and vendor engagement are your sole responsibility, and Dezine and Build shall not be liable for your reliance on any suggestions, referrals, or information provided.

9.2 No Endorsement of Third Parties

While Dezine and Build may assist clients by connecting them with contractors, vendors, or service providers, such references are made solely for convenience. We do not warrant, sponsor, endorse, or guarantee the quality, licensing, capabilities, or suitability of any thirdparty individual, supplier, or organisation associated with your project.

 

Any service engagements between you and external contractors, vendors, or consultants are independent transactions. Dezine and Build assumes no liability for the performance, delivery, pricing, warranties, or representations made by these third parties.

9.3 Intellectual Property of Third Parties

All third-party trademarks, logos, and product names displayed during service delivery or communications remain the intellectual property of their respective owners. Their appearance does not imply association, endorsement, or sponsorship by Dezine and Build.

9.4 No Guarantee of Project Estimates

Cost estimates, project timelines, or resource schedules provided by Dezine and Build are indicative and for general guidance only. Actual costs and timeframes may vary based on real-time site conditions, regulatory approvals, material price fluctuations, and third-party dependencies.

9.5 Client Responsibility for Due Diligence

You are encouraged to independently verify any information provided and conduct your own due diligence prior to proceeding with any third-party transactions or service engagements recommended through Dezine and Build.

9.6 No Obligation to Intervene in Disputes

You are encouraged to independently verify any information provided and conduct yourShould any dispute arise between you and a third-party service provider or vendor, Dezine and Build is under no obligation to mediate, intervene, or resolve such disputes. By using our services, you agree to release Dezine and Build, its affiliates, directors, officers, employees, and authorised agents from all claims, damages, liabilities, or demands arising out of or related to any such disputes. own due diligence prior to proceeding with any third-party transactions or service engagements recommended through Dezine and Build.

9.7 Service Availability Disclaimer

Dezine and Build provides its services on an “as is” and “as available” basis. We do not guarantee that services will be uninterrupted, secure, timely, or error-free. We disclaim all warranties, express or implied, including but not limited to:

You agree to indemnify, defend (at Dezine and Build’s option), and hold harmless Dezine and Build, its parent company Macrealities Design Pvt Ltd, its subsidiaries, affiliates, directors, officers, employees, authorised agents, representatives, successors, and assigns, from and against any and all claims, demands, suits, judicial proceedings, losses, liabilities, damages, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
This indemnity obligation shall survive the termination or expiration of your engagement with Dezine and Build and shall remain enforceable under applicable laws of Chennai, Tamil Nadu, and India.

11. Limitation of Liability

Notwithstanding anything contained elsewhere in these Terms, Dezine and Build, along with its affiliates, directors, officers, employees, agents, and authorised representatives, shall not be liable to you or to any third party for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of revenue, loss of anticipated profits, loss of goodwill, business interruption, or loss of data, arising directly or indirectly out of or related to the use of our services, even if Dezine and Build has been advised of the possibility of such damages.

 

To the fullest extent permitted by applicable laws, you hereby agree to fully waive, release, indemnify, and hold harmless Dezine and Build, its parent company MacRealities Design Pvt Ltd, its subsidiaries, directors, officers, employees, and authorised agents, from any and all claims, demands, liabilities, costs, losses, damages, or causes of action, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising from or in any way connected with your use of the services provided in Chennai, Tamil Nadu, or elsewhere.

 

This limitation of liability shall apply irrespective of the nature of the claim, whether based on contract, tort, negligence, strict liability, or otherwise.

12. Consent for Data Collection and Usage

12.1 Consent to Data Collection

By engaging Dezine and Build’s services, you expressly consent to our collection, storage, and usage of your personal information, project data, technical details, and related information in accordance with our published Privacy Policy. This includes data provided during registration, project onboarding, service delivery, communications, and feedback.

12.2 Use of Information for Service Enhancement

Dezine and Build may utilise information and data generated through your use of our services for legitimate business purposes such as:

12.3 Disclosure to Legal Authorities

Subject to applicable laws, Dezine and Build may be required to disclose user data or project-related information to law enforcement agencies, government authorities, regulatory bodies, or courts in connection with investigations, criminal proceedings, statutory compliance, or as otherwise mandated by law. You acknowledge and agree that Dezine and Build shall not be liable for any disclosure made in good faith in compliance with applicable legal obligations.

13. Service Modifications and Changes

Dezine and Build reserves the right, at its sole discretion, to modify, enhance, update, suspend, or discontinue any part of its services, offerings, processes, or support mechanisms at any time, whether temporarily or permanently, with or without prior notice.

 

Such changes may be made for operational, technological, regulatory, market-driven, or internal business reasons, ensuring continuous alignment with client expectations and the evolving legal landscape of Chennai, Tamil Nadu, and other areas we serve.


Dezine and Build shall not be held liable to any client or third party for any impact, loss, or inconvenience arising due to such service modifications, updates, or discontinuations.


Continued use of the services after the implementation of any such changes shall be deemed acceptance of those changes by the client.

14. Compliance with Laws and Regulatory Requirements

14.1 Client's Duty to Comply

Clients engaging with Dezine and Build agree to fully comply with all applicable central, state (specifically Tamil Nadu), and local laws, rules, building codes, and regulatory requirements in connection with the services provided.


This includes, but is not limited to, compliance with laws relating to urban planning, building permits, environmental clearances, RERA guidelines, labor regulations, municipal norms, and property tax requirements relevant to residential construction in Chennai and Tamil Nadu.


Clients acknowledge that they assume full responsibility for ensuring legal compliance for all aspects of their project, including securing and maintaining necessary approvals, permits, and documentation as required by statutory authorities.

14.2 Right to Suspend or Terminate Services for Non-Compliance

If Dezine and Build reasonably determines that a client’s use of its services or execution of the project is in violation of applicable laws, regulations, or official mandates, Dezine and Build reserves the right to:

14.3 Prevention of Improper Use

If at any point Dezine and Build reasonably believes that a client’s actions or project operations are in breach of any statutory provisions, ethical guidelines, or municipal standards, Dezine and Build may:

15. Jurisdiction, Governing Laws, and Dispute Resolution

15.1 Governing Law

These Terms and all matters arising from or related to the services provided by Dezine and Build shall be governed by, construed, and enforced in accordance with the laws of India, without regard to conflict of law principles. Subject to the provisions below, the courts located in Chennai, Tamil Nadu shall have exclusive jurisdiction over all disputes, controversies, and legal proceedings arising out of or relating to these Terms or the use of our services.

15.2 Dispute Resolution by Arbitration

In the event of any controversy, dispute, difference, or claim arising between the parties out of or relating to these Terms, or the breach thereof, the same shall be referred to and finally resolved through arbitration.

15.3 Confidentiality of Proceedings

All arbitration proceedings, including all documents, testimony, and awards, shall be kept strictly confidential by the parties involved. Disclosure shall be permitted only to the extent necessary for enforcement of the award or as required by applicable law.

15.4 Costs and Expenses

Each party shall bear its own legal and arbitration costs and expenses, including fees and disbursements of its counsel, witnesses, and experts. The administrative costs of arbitration (such as the arbitrator’s fees) shall be shared equally by both parties, unless otherwise determined in the final award.

At Dezine and Build, we recognise that every moment counts when creating your dream home. To meet the needs of time-sensitive clients without compromising on quality and precision, we offer the FastTrack Project Delivery Program exclusively for eligible projects in Chennai and across Tamil Nadu.

Dezine and Build reserves the exclusive right to modify, withdraw, or suspend the FastTrack Delivery Program at its discretion, based on operational, environmental, or regulatory considerations. Eligibility for the program is subject to final confirmation after detailed project review

17. General and Miscellaneous Provisions

17.1 Amendments to Terms

Dezine and Build reserves the right, at its sole discretion, to revise, update, or modify these Terms of Engagement and to introduce additional terms as required for operational, legal, or regulatory reasons. Any such modifications will be communicated to the client via email or other appropriate means. Continued use of Dezine and Build’s services after the communication of modifications shall constitute acceptance of the revised terms. Should the client reject the changes, the agreement shall stand terminated with immediate effect.

17.2 Severability

If any provision within these Terms is found by a competent court or regulatory authority to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Where possible, any invalid, illegal, or unenforceable portion shall be modified to the minimum extent necessary to make it valid and enforceable.

17.3 Assignment

Clients shall not assign, transfer, or delegate their rights, obligations, or covenants under these Terms without prior written consent from Dezine and Build. Dezine and Build may assign or transfer its rights and obligations to affiliates, group entities, or successor organisations without requiring any consent from the client.

17.4 Communication and Notices

All formal communications, notices, or legal correspondences must be directed to Dezine and Build at support@dezineandbuild.com. For general queries regarding service terms, clients may also contact the same address.

17.5 Third Party Rights

No person or entity not party to this agreement shall have any right to enforce any of its terms or claim any benefits under it.

17.6 Unforeseeable Events (Force Majeure)

Dezine and Build shall not be held liable for any delay or failure to perform obligations under these Terms if such delay or failure is caused by circumstances beyond reasonable control, including but not limited to acts of God, war, acts of terrorism, industrial disputes, internet disruptions, or governmental actions.

17.7 Entire Agreement

These Terms, together with any service agreements or annexures expressly incorporated by reference, constitute the complete and exclusive understanding between the client and Dezine and Build concerning the services provided and supersede all prior communications, proposals, discussions, and agreements.

17.8 Waiver

The failure of Dezine and Build to enforce any provision of these Terms shall not be deemed a waiver of future enforcement of that or any other provision. Any waiver must be in writing and signed by an authorised representative.

17.9 Legal Costs and Attorney Fees

In the event of legal proceedings arising from a breach of these Terms, Dezine and Build shall be entitled to recover reasonable legal costs, attorney fees, and other related expenses incurred during the enforcement of its rights.

17.10 Account Registration and Security

Clients may be required to create an account on Dezine and Build’s website or application for accessing services. It is the client’s responsibility to maintain the confidentiality of their login credentials and to promptly notify Dezine and Build of any unauthorised use or security breaches.

17.11 Confidentiality and Communication Consent

Clients shall maintain strict confidentiality regarding all proprietary information, design documents, project data, and pricing details shared during the engagement. Clients authorize Dezine and Build to contact them via email, SMS, calls, or other electronic communication channels for service updates, project information, and promotional communications. Clients acknowledge that such communications do not qualify as ‘unsolicited commercial communications’ under applicable regulations, including Telecom Regulatory Authority of India (TRAI) guidelines. Clients agree to indemnify Dezine and Build and its employees against any claims arising from erroneous complaints regarding such communication.

17.12 Structural Warranty Commitment

Dezine and Build, in collaboration with its authorised contractors and execution partners, offers a 10-year structural warranty on residential construction projects undertaken under a formal execution agreement.

 

This warranty covers structural elements of the building, including the foundation, loadbearing walls, columns, beams, and slabs, ensuring protection against defects arising from structural failures under normal residential usage conditions.

 

The scope, terms, and exclusions of this warranty are governed by the Master Construction Agreement executed at the time of project initiation. Clients will be issued a formal Structural Warranty Certificate upon project completion.
