Terms & Conditions
This Agreement outlines the complete terms and conditions applicable to an individual or entity’s participation in the DZB Associate Partner Program (the “Program”). This Agreement is made and entered into by and between Macrealities Design Pvt Ltd,
operating through its brand Dezine and Build (hereinafter referred to as the “Company”, which expression shall, unless repugnant to the context or meaning thereof, be deemed to include its successors-in-interest and permitted assigns), and the applicant (hereinafter
referred to as the “DZB Associate Partner”, which expression shall, unless repugnant to the context or meaning thereof, be deemed to include its successors-in-interest and permitted assigns).
Service Area: Chennai and Tamil Nadu, India.
Whereas:
- The Company is engaged in the business of providing comprehensive residential design, construction, and project execution services through its online and offline platforms under the brand "Dezine and Build."
- The DZB Associate Partner has represented that they have expertise in marketing, promoting, and facilitating the acquisition of clients seeking residential design, construction, or renovation services and is willing to offer support by sharing customer leads (hereinafter referred to as "Leads") with the Company.
- Based on the representations and assurances provided by the DZB Associate Partner regarding their skill, knowledge, experience, infrastructure, and capability to generate quality leads, the Company is willing to appoint the DZB Associate Partner to contribute Business Services to the Company on a principal-to-principal, non- exclusive basis.
Now, Therefore, it is Agreed as Follows:
1. Engagement:
- The Company hereby appoints the DZB Associate Partner to refer and introduce potential customers (Leads) to Dezine and Build within the Service Area.
- This engagement is on a non-exclusive, principal-to-principal basis. No employment relationship shall be construed between the Company and the DZB Associate Partner.
2. Responsibilities of DZB Associate Partner:
- Actively source and share genuine and verified Leads interested in residential construction, renovation, or interior design services.
- Maintain the highest standards of integrity, professionalism, and customer service while representing Dezine and Build.
- Ensure that all information shared with the Company is accurate, complete, and free from misrepresentation.
3. Responsibilities of the Company:
- Evaluate and process the Leads shared by the DZB Associate Partner with due diligence.
- Update the DZB Associate Partner periodically on the status of the Leads.
- Pay referral commissions as per the agreed-upon structure for successfully converted projects (detailed separately in the Commission Policy Document).
4. Term and Termination:
- This Agreement shall commence on the date of acceptance by the Company and shall remain in force unless terminated by either party with thirty (30) days' prior written notice.
- The Company reserves the right to terminate the agreement immediately in case of misconduct, breach of trust, misrepresentation, or any activity detrimental to the brand image.
5. Relationship:
- The DZB Associate Partner shall act solely as an independent entity and shall not be considered an agent, legal representative, joint venture partner, or employee of the Company.
6. Confidentiality:
- The DZB Associate Partner shall maintain strict confidentiality regarding the Company's business information, client information, and operational processes, during and after the term of this engagement.
7. Indemnity:
- The Associate Partner agrees to indemnify and hold harmless the Company from any losses, claims, damages, liabilities, or expenses arising from any breach of this Agreement or any act or omission by the DZB Associate Partner.
8. Governing Law and Jurisdiction:
- This Agreement shall be governed by and construed in accordance with the laws of India.
- The courts in Chennai, Tamil Nadu shall have exclusive jurisdiction over any disputes arising out of or in connection with this Agreement.
Acknowledgement:
By participating in the DZB Associate Partner Program, the Associate Partner acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement.
Enrolment in the Program: DZB Associate Partner Program
The Company, operating under the brand “Dezine and Build” by Macrealities Design Pvt Ltd, is engaged in the business of providing a comprehensive platform via its website, digital presence, and direct channels, aggregating construction and renovation professionals such as contractors, architects, interior designers, and engineers to deliver premium residential construction and design services to end customers.
The DZB Associate Partner has represented that they possess extensive experience in marketing, promoting, and facilitating customer acquisition for residential design, construction, and renovation projects. The DZB Associate Partner offers to share customer
leads (hereinafter referred to as “Leads”) who are interested in constructing or renovating homes within Chennai and Tamil Nadu.
Based on these representations, the Company agrees to engage and appoint the Associate Partner to generate Business Services for the Company on a principal-to-principal basis.
The Associate Partner further represents and warrants that they possess the necessary skills, knowledge, infrastructure, professional network, and trained personnel to successfully perform under this Agreement.
Relying upon these representations and warranties, the Company agrees to engage the DZB Associate Partner on a non-exclusive basis, subject to the terms and conditions outlined herein.
Application and Enrolment
- Enrolment in the DZB Associate Partner Program is subject to the Company's sole discretion. The Company reserves the right to accept or reject any application without providing specific reasons.
- Applications must be complete in all respects and accompanied by necessary documents, including identity proof, constitution documents (in case of firms/ companies), and applicable registration certificates issued by relevant authorities.
- Incomplete applications or those without the required documentation will not be processed.
- All discussions, documents exchanged, and information shared during the application process shall remain confidential and may only be disclosed to the Company's affiliates, subsidiaries, or as required by law.
- Applicants may retrieve their submitted documents within forty-five (45) days of submission. Post this period, the Company shall securely dispose of such documents.
- By enrolling, the applicant confirms that they are not involved in any economic offenses, tax defaults, or activities involving moral turpitude.
Lead Generation and Management
- The DZB Associate Partner shall diligently share genuine Leads of prospective customers seeking residential design or construction services with the Company.
- The Company will verify the authenticity of the Leads and thereafter engage directly with the customer to provide the necessary services.
- The DZB Associate Partner is encouraged to actively promote the Company’s brand and maintain the Lead’s interest and confidence until formal engagement.
Marketing and Brand Usage
- The Company may provide marketing support to the DZB Associate Partner and, upon mutual agreement, may display the DZB Associate Partner’s logo on appropriate platforms.
- The DZB Associate Partner may leverage the Company’s digital marketing ecosystem at an agreed-upon cost.
- The DZB Associate Partner shall not display or promote Dezine and Build’s brand name, logo, service offerings, or packages on their own platforms or websites without prior written approval.
- Upon approval, the Company shall share the appropriate brand assets and guidelines for usage.
Lead Conflict Resolution
- If the same Lead is shared by multiple DZB Associate Partners, priority shall be given based on the quality and completeness of information.
- In cases where the information quality is identical, the Company will recognise the Lead on a "first come, first served" basis, determined by the timestamp of Lead submission.
By applying for and participating in the DZB Associate Partner Program, the Associate Partner acknowledges and agrees to abide by these enrolment and operational terms.
