2.1 Account Information and Updates
Clients are responsible for providing accurate and complete information during registration
and project initiation. Email and mobile contact information must be kept current to ensure
seamless communication and official notice delivery
2.2 Permitted Use of Services
Clients agree not to:
- Copy, modify, or distribute Dezine and Build service materials without authorisation.
- Reverse engineer or extract any source code from Dezine and Build platforms.
- Sublicense, lease, or resell access to our platforms or services.
- Remove or obscure proprietary notices from our materials.
- Create derivative works based on our offerings without written consent.
- Engage in unlawful or unethical activities while using our services.
Clients further agree to:
- Ensure responsible usage by authorised personnel.
- Take reasonable measures to prevent unauthorised access.
- Abide by all relevant laws, regulations, and user guidelines.

Payments for services and deliverables are due immediately upon commencement or delivery milestones. All payments to Dezine and Build are final and non-refundable except as explicitly provided for in the contractual agreement.
Transactions facilitated with third-party vendors fall under the scope of Dezine and Build’s broader project engagement and are not independent transactions.
3. Service Environment and Standards
3.1 Technical Assistance and Client Support
3.2 Independent Facilitation
Dezine and Build acts purely as a service integrator and facilitator. We do not represent either the client or third-party service providers as principal or agent. Our role is limited to managing the scope and delivery of contracted services.
We hold no direct liability for individual transactions or engagements outside the boundaries of our signed agreements.
3.3 Ethical Use of Digital Platforms
Clients and partners are expected to use Dezine and Build’s digital tools and communication platforms professionally and ethically. Posting or transmitting illegal, defamatory, discriminatory, or inappropriate content is strictly prohibited.
Any violation will result in immediate suspension or termination off platform access, without prior notice, in addition to any other legal remedies available to Dezine and Build.
4. Cancellation and Refund Policy
4.1 General Policy
At Dezine and Build, our mission is to deliver a seamless and high quality residential design and construction experience. Significant resources are dedicated from the moment a client engages our services, including feasibility studies, site assessments, conceptual designs, statutory evaluations, and procurement processes. Consequently, the following cancellation and refund terms are structured to ensure fairness to all stakeholders and to cover the costs incurred during preliminary project stages.
4.2 Client Cancellation Procedure
Clients who wish to cancel their engagement must communicate their intent in writing from their registered email address to support@dezineandbuild.com. Alternatively, they may send a formal letter via registered post with acknowledgment due to our head office address as listed on our website.

4.6 Refund Timelines
- Eligible refunds will be processed within thirty (30) business days.
- Refunds will be made only through NEFT/RTGS transfers to the client’s registered bank account.
- Cash refunds will not be entertained under any circumstances.
4.7 Cancellations After Master Agreement Execution

- Work completed by third-party consultants contracted specifically for the project.

If a cancellation is requested after a delay or default in client payments as per project
milestones, Dezine and Build shall have the right to:
- Withhold any refund processing.
- Offset the pending amounts against any refundable balance.
- Initiate legal proceedings for balance recovery, if necessary.

5. Account Information and Client Communications
5.1 Collection and Management of Transaction Information
5.2 Client Consent for Information Usage
- The creation of a client profile on our platform or project management system, including sharing and storage of basic contact details like name, address, phone number, and email ID.
- The potential use of Transaction Information internally for service enhancement, analytics, quality audits, and client experience improvements.
- The possibility of sharing limited Transaction Information with authorized third parties strictly for operational support, regulatory compliance, or service improvement purposes.

The receipt of communications from Dezine and Build relating to:
(A) Project updates and transaction confirmations
(B) Payment requests and milestone alerts
(C) Information about service upgrades, new offerings, or project facilitation
(D) Promotional offers and client loyalty programs (if applicable)
(E) Regulatory or operational notifications related to services
5.3 Right to Withdraw Consent
- Dezine and Build may be unable to provide certain project tracking features, updates, or service functionalities.
- In such cases, the client’s access to platform services, real-time updates, or communication-driven project support may be discontinued or limited, and service delivery may revert to manual communication modes where feasible.
6. Client Responsibilities
6.1 Accuracy and Disclosure of Information
The client represents and warrants that all information, documentation, and data provided to Dezine and Build during the course of availing services are complete, true, accurate, and up-to-date at the time of submission. The client further agrees to promptly notify Dezine and Build in writing if any information previously provided undergoes any change or becomes outdated during the term of engagement.
Dezine and Build shall not be held responsible for any losses, delays, or damages incurred as a result of inaccurate, incomplete, misleading, or outdated information provided by the client.
6.2 Compliance with Laws
The client is solely responsible for ensuring compliance with all applicable central, state (specifically Tamil Nadu), and local laws, rules, building regulations, and statutory obligations connected to the project.
Any legal liabilities, penalties, or consequences arising out of non-compliance shall be borne entirely by the client.
6.3 Cooperation in Legal Proceedings

- Infringe any copyrights, trademarks, patents, or other proprietary rights belonging to Dezine and Build or third parties.
- Reproduce, distribute, publish, modify, create derivative works from, or commercially exploit any service, design, or document provided, except as explicitly permitted.
- Upload or transmit harmful software, viruses, trojans, spyware, malware, adware, or any other disruptive code intended to damage or interfere with our digital systems.
- Engage in unauthorized monitoring, scraping, data mining, or systematic retrieval of content from Dezine and Build’s platform or systems.
- Use our services for unlawful, fraudulent, malicious, or unethical purposes.
- Violate any applicable laws, municipal codes, or regulatory frameworks in connection with the services provided.
7. Intellectual Property Rights
7.1 Ownership of Intellectual Property
All rights, title, and interest in and to Dezine and Build’s platforms, services, designs, documentation, templates, concepts, and any other materials provided during the course of engagement, including all associated intellectual property rights, are and shall remain the exclusive property of Dezine and Build or its licensors.
Subject to compliance with these Terms, Dezine and Build grants the client a nonexclusive, non-transferable, non-sub-licensable, royalty-free, revocable, and limited license to use the provided materials and services solely for the purposes of the specific residential project agreed between the parties.
This license is limited strictly to the duration of the service engagement and does not grant any ownership or broader rights beyond project execution.
7.2 Client Feedback and Suggestions
Dezine and Build may, from time to time, solicit feedback, suggestions, ideas, improvements, or recommendations (“Feedback”) relating to its platforms, services, or operations.
By providing such Feedback, you agree that Dezine and Build shall have the unrestricted right to use, reproduce, modify, publish, display, distribute, and otherwise exploit such Feedback without any obligation of royalty, acknowledgment, attribution, or consent. Such Feedback will be used solely to improve service offerings and operational efficiency
across Chennai, Tamil Nadu, and other service areas.
7.3 No Transfer of Rights
Except as expressly provided under these Terms, nothing contained herein shall be construed to grant, by implication, estoppel, or otherwise, any ownership rights, licenses, or intellectual property rights of Dezine and Build or any third party to the client.
All rights not expressly granted under these Terms are hereby reserved.
8. Term and Termination

- Breach or violation of any obligation, covenant, or responsibility stipulated under these Terms;
- Misuse of services or unlawful activities connected with the project;
- Non-payment of dues or non-compliance with payment schedules;
- Failure to adhere to project schedules, approvals, or compliance requirements.
8.3 Consequences of Termination
- All access to Dezine and Build’s services, platforms, and project-related support will be revoked (“timed-out”).
- The client shall immediately cease to use any proprietary information, project templates, documents, or deliverables provided by Dezine and Build.
- These Terms shall stand terminated, except for clauses that by their nature are intended to survive termination, such as Confidentiality, Limitation of Liability, Indemnity, and Governing Law provisions.

While Dezine and Build may assist clients by connecting them with contractors, vendors, or service providers, such references are made solely for convenience. We do not warrant, sponsor, endorse, or guarantee the quality, licensing, capabilities, or suitability of any thirdparty individual, supplier, or organisation associated with your project.
Any service engagements between you and external contractors, vendors, or consultants are independent transactions. Dezine and Build assumes no liability for the performance, delivery, pricing, warranties, or representations made by these third parties.

- Any operational downtime or interruption in service availability.
10. Indemnity
- Your use or misuse of the services offered by Dezine and Build;
- Your violation of any term or condition contained in these Terms of Engagement;
- Any infringement or violation of any rights of a third party, including intellectual property rights, privacy rights, or statutory rights;
- Any unauthorised access or misuse of services by a third party acting through your account, communication channel, or under your authorisation.
11. Limitation of Liability
Notwithstanding anything contained elsewhere in these Terms, Dezine and Build, along with its affiliates, directors, officers, employees, agents, and authorised representatives, shall not be liable to you or to any third party for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of revenue, loss of anticipated profits, loss of goodwill, business interruption, or loss of data, arising directly or indirectly out of or related to the use of our services, even if Dezine and Build has been advised of the possibility of such damages.
To the fullest extent permitted by applicable laws, you hereby agree to fully waive, release, indemnify, and hold harmless Dezine and Build, its parent company MacRealities Design Pvt Ltd, its subsidiaries, directors, officers, employees, and authorised agents, from any and all claims, demands, liabilities, costs, losses, damages, or causes of action, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising from or in any way connected with your use of the services provided in Chennai, Tamil Nadu, or elsewhere.
This limitation of liability shall apply irrespective of the nature of the claim, whether based on contract, tort, negligence, strict liability, or otherwise.
12. Consent for Data Collection and Usage

13. Service Modifications and Changes
Dezine and Build reserves the right, at its sole discretion, to modify, enhance, update, suspend, or discontinue any part of its services, offerings, processes, or support mechanisms at any time, whether temporarily or permanently, with or without prior notice.
Such changes may be made for operational, technological, regulatory, market-driven, or internal business reasons, ensuring continuous alignment with client expectations and the evolving legal landscape of Chennai, Tamil Nadu, and other areas we serve.
Dezine and Build shall not be held liable to any client or third party for any impact, loss, or inconvenience arising due to such service modifications, updates, or discontinuations.
Continued use of the services after the implementation of any such changes shall be deemed acceptance of those changes by the client.
14. Compliance with Laws and Regulatory Requirements
14.1 Client's Duty to Comply
Clients engaging with Dezine and Build agree to fully comply with all applicable central, state (specifically Tamil Nadu), and local laws, rules, building codes, and regulatory requirements in connection with the services provided.
This includes, but is not limited to, compliance with laws relating to urban planning, building permits, environmental clearances, RERA guidelines, labor regulations, municipal norms, and property tax requirements relevant to residential construction in Chennai and Tamil Nadu.
Clients acknowledge that they assume full responsibility for ensuring legal compliance for all aspects of their project, including securing and maintaining necessary approvals, permits, and documentation as required by statutory authorities.
14.2 Right to Suspend or Terminate Services for Non-Compliance
If Dezine and Build reasonably determines that a client’s use of its services or execution of the project is in violation of applicable laws, regulations, or official mandates, Dezine and Build reserves the right to:
- Immediately suspend or terminate services related to the project without any liability for penalties or delays arising therefrom.
- Withhold further site work or approvals until full compliance is demonstrated by the client.
- Require submission of necessary documents or proofs validating compliance before resumption of work.
14.3 Prevention of Improper Use
- Suspend or restrict specific services connected to the project.
- Conduct an internal audit or review of project compliance.
- Recommend corrective measures that the client must undertake prior to continuation of services.
15. Jurisdiction, Governing Laws, and Dispute Resolution

15.2 Dispute Resolution by Arbitration
- Arbitration proceedings shall be conducted in Chennai, in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time.
- The arbitration tribunal shall consist of a sole arbitrator appointed by Dezine and Build.
- The language of the arbitration proceedings shall be English.
- The seat and venue of arbitration shall be Chennai, Tamil Nadu.

16. FastTrack Project Delivery Program Chennai and Tamil Nadu
Serviceable Locations
- Chennai Metropolitan Area
- Major cities and towns across Tamil Nadu (including but not limited to Coimbatore, Madurai, Trichy, Salem, and Tirunelveli) (subject to site evaluation and project feasibility review)
Eligibility Requirements :
Plot and Building Specifications
- Plot size must be between 1,200 sq. ft. and 2,400 sq. ft.
- Total built-up area must not exceed 3,000 sq. ft.
- Project must involve a minimum of 2 floors (Ground + First Floor or higher).
- The approach road to the site must have a minimum width of 30 feet for safe material movement and logistics access.
- Adequate on-site space for material stacking and labor shed must be available.
Design Phase and Approvals :
Streamlined Design Process
- A maximum of three (3) design iterations is allowed during the concept and detailed design phases.
- Projects exceeding three iterations will automatically be removed from the FastTrack program and moved to the standard execution schedule.
Mandatory Documentation
- Clients must furnish all necessary legal documents including Patta, Field Measurement Sketch (FMB), Building Approval Plans, Loan Sanctions (if applicable), and any Statutory Clearances before project kickoff.
- Delays or discrepancies in submission of approvals will impact eligibility and timelines.
Payment Terms and Client Commitment
- A minimum upfront payment of 5% of the total project cost is required to enrol in the FastTrack program.
- Payment milestones must be honoured promptly as per the project financial schedule to avoid disruption of accelerated timelines.
- Clients are expected to approve floor plans, working drawings, structural designs, and site execution stages swiftly to maintain momentum.
Site Survey and Soil Investigation
- A comprehensive soil test and site survey will be conducted before project start.
- If significant anomalies are discovered (such as weak soil conditions, encroachments, etc.), the construction strategy and timelines may be revised accordingly

Clients shall maintain strict confidentiality regarding all proprietary information, design documents, project data, and pricing details shared during the engagement. Clients authorize Dezine and Build to contact them via email, SMS, calls, or other electronic communication channels for service updates, project information, and promotional communications. Clients acknowledge that such communications do not qualify as ‘unsolicited commercial communications’ under applicable regulations, including Telecom Regulatory Authority of India (TRAI) guidelines. Clients agree to indemnify Dezine and Build and its employees against any claims arising from erroneous complaints regarding such communication.
17.12 Structural Warranty Commitment
Dezine and Build, in collaboration with its authorised contractors and execution partners, offers a 10-year structural warranty on residential construction projects undertaken under a formal execution agreement.
This warranty covers structural elements of the building, including the foundation, loadbearing walls, columns, beams, and slabs, ensuring protection against defects arising from structural failures under normal residential usage conditions.
The scope, terms, and exclusions of this warranty are governed by the Master Construction Agreement executed at the time of project initiation. Clients will be issued a formal Structural Warranty Certificate upon project completion.
Important Notes:
- The warranty is valid only if all construction activities, materials, and alterations are approved and overseen by Dezine and Build during the project lifecycle.
- Unauthorised modifications, third-party interventions, or non-compliance with maintenance guidelines may void the warranty.
- The warranty does not cover damages due to natural disasters, negligence, external force majeure events, or improper usage of the building.
